The fine print.Terms of service.

Template wording. This page is a starting template for a small digital agency. It is not legal advice and must be reviewed by a lawyer before launch.

The short version: you get a fixed quote before we start, you own what you pay for, and either of us can step away fairly. The details are below.

About these terms

These terms apply when you use this website or hire Brandcavo (“we”, “us”) for strategy, automation, SEO or custom web work. By using the site or accepting a quote, you agree to them.

If you and we sign a separate agreement or statement of work, that document takes priority where it differs from these terms.

Our services

Each project starts with a written quote that sets out the scope, the price, the timeline and what is not included. We will do the work with reasonable skill and care, and keep you updated as it moves.

Anything outside the agreed scope is quoted separately before we start it.

Quotes and payment

  • Quotes are valid for [30] days unless they say otherwise.
  • Unless agreed in writing, we invoice [50% before work starts and 50% on completion]. Ongoing work is invoiced monthly in advance.
  • Invoices are due within [14] days. We may pause work while an invoice is overdue.
  • Prices exclude taxes, which are added where they apply.
  • Third-party costs (domains, hosting, software subscriptions, paid tools) are paid by you, directly or at cost.

Your responsibilities

To keep the project on time, you agree to:

  • give us the information, content, access and feedback we need, when we need it;
  • make sure any material you send us is yours to use, or that you have permission to use it;
  • check and approve work at the agreed stages.

Delays in feedback or access can move the timeline and, if they add work, the price.

Who owns the work

Once you have paid in full, you own the final deliverables we create for you: the website, content, designs, automations and the accounts set up in your name. Your data is always yours.

We keep ownership of our own general know-how, templates and tools we used before or outside your project, and give you a permanent licence to use them as part of your deliverables. Third-party software stays under its own licence.

Unless you tell us otherwise, we may mention that we worked with you and show the public work in our portfolio.

Confidentiality

We keep your business information, logins and data private, use them only for your project, and ask the same of anyone who helps us deliver it. You agree to treat our quotes and working methods the same way.

Third-party tools and platforms

Much of our work runs on other companies’ platforms, such as search engines, hosting providers, email tools and customer databases. We are not responsible for their outages, policy changes or ranking changes, and we cannot guarantee a specific search position or result.

Warranties and liability

If something we delivered does not work as agreed, tell us within [30] days of handover and we will fix it at no extra cost.

To the extent the law allows, our total liability for any project is limited to the amount you paid us for that project in the [12] months before the claim, and we are not liable for indirect losses such as lost profit or lost data. Nothing in these terms limits liability that cannot be limited by law.

Ending a project

Either of us can end ongoing work with [30] days’ written notice. Either of us can end a project straight away if the other seriously breaks these terms and does not put it right within [14] days of being asked.

If a project ends early, you pay for the work done up to that point and we hand over everything you have paid for.

Changes to these terms

We may update these terms from time to time. The date at the top shows when they last changed. Changes do not affect projects already agreed unless we both agree in writing.

These terms are governed by the laws of [country or state], and disputes will be handled by the courts there.
